These Terms of Service ("Terms") govern your access to and use of the services, applications, and products (collectively, the "Services") provided by Wec.ai ("Wec.ai," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our Services.
By accessing or using our Services, you confirm that you are at least 18 years old, or that you are at least 13 years old and have your parent or guardian's permission to use our Services, and that you have the legal authority to accept these Terms.
We may modify these Terms at any time. Your continued use of the Services after any modification indicates your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
Wec.ai provides voice AI solutions for various industries, including energy, travel, healthcare, and finance. Our Services may include, but are not limited to:
- Voice-enabled virtual assistants
- Automated customer service solutions
- Voice analytics and insights
- Industry-specific AI applications
- Integration with third-party systems
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.
Certain aspects of our Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to disable any user account if we believe you have violated these Terms or if we determine, in our sole discretion, that your use of the account poses a security risk.
In using our Services, you agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services to transmit harmful code or engage in disruptive activities
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Services to distribute unsolicited promotional materials
- Interfere with or disrupt the operation of the Services
- Reverse engineer, decompile, or disassemble any aspect of our Services
- Use our Services for any illegal, harmful, or fraudulent activities
- Submit content that is unlawful, offensive, defamatory, or otherwise objectionable
Wec.ai Ownership
All rights, title, and interest in and to the Services, including all intellectual property rights, are owned by Wec.ai or its licensors.
Nothing in these Terms grants you any right, title, or interest in the Services or our intellectual property, except for the limited license expressly set forth in these Terms.
Your Content
You retain ownership of any content you submit through our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with providing and improving our Services.
Our Services may contain links to third-party websites or services. We are not responsible for the content or practices of these third-party websites or services, and your use of them is at your own risk and subject to their terms of service.
Payment Obligation
Certain aspects of our Services may require payment. By subscribing to our paid Services, you agree to pay all fees in accordance with the pricing and payment terms presented to you at the time of purchase.
Fees are non-refundable except as expressly provided in these Terms or as required by applicable law. We reserve the right to change our prices at any time, and such changes will apply to billing cycles after notice of the change has been provided.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Without limiting the foregoing, Wec.ai explicitly disclaims any warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement, and any warranties arising out of course of dealing or usage of trade.
We make no warranty that the services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content obtained through the services.
No advice or information, whether oral or written, obtained from Wec.ai or through the services, will create any warranty not expressly made herein.
Liability Limitations
To the maximum extent permitted by applicable law, Wec.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Aggregate Liability Cap: In no event shall Wec.ai's aggregate liability for all claims related to the services exceed the greater of one hundred US dollars ($100) or the amount paid by you for the services in the last twelve (12) months.
The limitations in this section shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and whether or not Wec.ai has been informed of the possibility of any such damage.
Third-Party AI Systems Disclaimer
This warranty does not extend to third-party AI systems and services, including but not limited to large language models (LLM) and AI tools provided by platforms such as OpenAI, ASR, and other platforms, which operate as external services outside WEC's control.
You acknowledge that the performance, accuracy, and consistency of the Voice AI and Chat AI system may be influenced by the behavior of these third-party AI models and services. WEC does not guarantee the accuracy or consistency of outputs generated by such systems, as they operate independently and are subject to the inherent variability of AI technologies.
You agree to indemnify, defend, and hold harmless Wec.ai, its affiliates, officers, directors, employees, consultants, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:
- Your use of our Services
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your content or information provided through our Services
Termination Rights
We may terminate or suspend your access to our Services, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, any such dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
The arbitration shall take place in Delaware, in the English language, and the arbitral decision may be enforced in any court.
Notwithstanding the foregoing, Wec.ai may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights or to prevent unauthorized use of the Services.
CLASS ACTION WAIVER: YOU AND WEC.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Entire Agreement
These Terms constitute the entire agreement between you and Wec.ai regarding the Services and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
Assignment
You may not assign or transfer these Terms or your rights under these Terms without Wec.ai's prior written consent. Wec.ai may assign these Terms without restriction.
Force Majeure
Wec.ai shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control.
